Navis is a global leader in software for terminals and logistics operators, helping manage and optimize complex supply chain operations across more than 100 countries.

Navis was divested from its parent company Cargotec in a €380M transaction. The process required full operational unbundling and strategic readiness for private equity ownership. Thought Source was engaged to lead the program—not only advising, but actively running diligence readiness, driving carve-out delivery, and enabling the business to stand up as a global, independent technology company.

• Lead sell-side technical diligence and support executive readiness

• Run the end-to-end carve-out execution program across business units and geographies

• Ensure TSA milestones were met without disruption to BAU operations

• Transition Navis to fully independent business systems and infrastructure

• Support global day-one readiness for operations across 15+ countries

Thought Source deployed a senior program team to lead the transformation from within:

• Program Leadership: Owned and drove day-to-day execution of the carve-out program, across all functional and technical domains

• Global Coordination: Managed Day 1 readiness planning across 20+ jurisdictions, including legal, IT, HR, and finance coverage

• Sell-Side Execution: Curated a high-integrity Virtual Data Room, coached execs for buyer interactions, and ran a clean, confident diligence process

• TSA Management: Defined and executed exit plans across infrastructure, applications, licensing, and support

• Stakeholder Engagement: Provided cross-functional visibility, structured workstreams, and consistent communication to both internal leaders and external advisors

Navis was acquired by Accel-KKR for €380M. Thought Source ensured the company was buyer-ready, operationally clear, and globally aligned. All TSA transitions were completed on time, and the business launched into its next chapter with robust internal systems, staff alignment, and zero disruption to customer service.
